Terms of Service

These Terms describe the current marketplace, messaging, billing, and account rules for using mortly.

1. Acceptance of Terms

By accessing or using mortly (the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Platform.

We may update these Terms from time to time. If we make material changes, we will post the updated Terms and may provide additional notice by email or in-product messaging.

2. Platform Description

mortly is an online marketplace that lets borrowers submit mortgage requests, receive broker introductions, and exchange messages with verified brokers inside the Platform.

mortly is NOT a mortgage lender, financial advisor, or mortgage broker. We do not provide mortgage advice, make lending decisions, approve or deny mortgage applications, or act as a party to any mortgage transaction. All mortgage products and services are offered independently by licensed brokers on the Platform.

3. Eligibility

To use the Platform, you must:

  • Be at least 18 years of age
  • Be a resident of Canada
  • Have the legal capacity to enter into a binding agreement
  • Provide accurate and complete registration information

Brokers must additionally hold a valid mortgage broker license issued by their respective provincial regulator and maintain such license in good standing throughout their use of the Platform.

4. Account Registration & Security

You must create an account to access the Platform's core features. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You agree to: (a) provide accurate, current, and complete information during registration; (b) promptly update your information to keep it accurate; (c) notify us immediately of any unauthorized access to your account; and (d) not share your account with any other person.

We reserve the right to suspend or terminate any account that we reasonably believe has been compromised or is being used in violation of these Terms.

5. Borrower Terms

As a borrower on the Platform, you may submit mortgage requests free of charge. By submitting a request, you agree that:

  • The information you provide is accurate and truthful
  • Your request details, including information you place in request fields and notes, may be visible to verified brokers on the Platform
  • mortly does not automatically include your direct contact details in standard request browsing or in-platform messaging, but information you choose to share in messages or off-platform is your responsibility
  • You may receive introductions from multiple brokers and are under no obligation to engage with any of them
  • mortly does not guarantee the quality, accuracy, or suitability of any broker's services or advice

You may have up to 10 active requests at a time. Requests expire based on the Platform's configured posting window, which is 30 days by default. You may edit or delete requests while they are open or pending approval.

6. Broker Terms

As a broker on the Platform, you acknowledge and agree that:

  • You hold a valid mortgage broker license issued by your provincial regulator
  • You will maintain your license in good standing at all times while using the Platform
  • You are subject to our broker verification process and may not access the marketplace until verified
  • All information in your profile, including your brokerage name, license number, and qualifications, is accurate and current
  • You will comply with all applicable federal and provincial laws, regulations, and industry standards
  • You will not engage in misleading, deceptive, or predatory practices

Brokers who fail to maintain their license or violate these Terms may have their verification status revoked and their account suspended or terminated.

7. Subscriptions & Payments

Brokers may subscribe to paid plans to access enhanced features, including monthly response credits or higher messaging limits depending on the selected tier. Subscription plans and pricing are described on our Pricing page.

Subscriptions are billed monthly through our payment processor, Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis.

You can manage, upgrade, downgrade, or cancel paid plans through the Platform and Stripe billing tools. Some changes, such as upgrades, may take effect immediately with proration, while cancellations generally apply at the end of the current billing period. Except where required by law, fees are non-refundable.

We may change subscription prices, plan features, or monthly credit allocations with advance notice before the affected renewal.

Monthly response credits reset at the start of each billing period and do not roll over. Premium plans are not limited by monthly response credits.

8. Prohibited Conduct

You agree not to:

  • Provide false, misleading, or fraudulent information
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity
  • Harass, abuse, threaten, or intimidate other users
  • Use the Platform for any unlawful purpose or in violation of any applicable laws or regulations
  • Attempt to misuse or circumvent the Platform's privacy or access controls
  • Scrape, harvest, or collect user data through automated means
  • Interfere with or disrupt the Platform's infrastructure, security, or functionality
  • Solicit users outside of the Platform to avoid subscription fees
  • Post or transmit unsolicited advertising, spam, or promotional materials
  • Attempt to access another user's account without authorization

9. Content & Intellectual Property

All content, trademarks, logos, and intellectual property displayed on the Platform are owned by or licensed to mortly. You may not reproduce, distribute, modify, or create derivative works from any Platform content without our prior written consent.

By submitting content to the Platform (including request details, profile information, and messages), you grant mortly a non-exclusive, royalty-free, worldwide license to use, display, and process such content solely for the purpose of operating and improving the Platform.

You retain ownership of the content you submit and are solely responsible for ensuring it does not infringe on any third party's rights.

10. Privacy & Data Protection

Your use of the Platform is also governed by our Privacy & Trust policy, which describes how we collect, use, and protect your personal information. By using the Platform, you consent to the practices described in our privacy policy.

We aim to keep direct contact details out of standard request browsing and in-platform messaging. If you include identifying information in request fields, messages, or off-platform communications, that disclosure is your choice.

11. Reporting & Enforcement

Users may report concerns about brokers, requests, or conversations through the Platform's reporting system. We investigate all reports and take appropriate action, which may include warnings, suspension, or permanent banning of accounts.

We reserve the right, at our sole discretion, to suspend or terminate any user's account for violations of these Terms or for conduct that we determine is harmful to the Platform, its users, or third parties.

If your account is suspended or terminated, you may contact us at support@mortly.ca to request a review of the decision.

12. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that: (a) the Platform will be uninterrupted, timely, secure, or error-free; (b) any information provided by brokers is accurate, complete, or reliable; (c) any mortgage transaction facilitated through the Platform will be satisfactory; or (d) any defects in the Platform will be corrected.

You acknowledge that mortgage decisions involve significant financial risk and that you should independently verify all information and seek professional advice before entering into any mortgage agreement.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MORTLY, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM.

Our total aggregate liability for all claims arising out of or related to these Terms or your use of the Platform shall not exceed the greater of: (a) the amount you paid to us in the twelve (12) months preceding the claim; or (b) one hundred Canadian dollars (CAD $100).

14. Indemnification

You agree to indemnify, defend, and hold harmless mortly and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any content you submit through the Platform.

15. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the applicable federal laws of Canada, unless mandatory law requires otherwise.

If you have a dispute with us, you agree to first contact us in good faith at support@mortly.ca. If the dispute cannot be resolved informally, it may be brought in the courts of competent jurisdiction in Ontario, unless mandatory law requires a different forum.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

16. Termination

You may stop using the Platform at any time. If you want us to close your account, contact us at support@mortly.ca.

We may terminate or suspend your account immediately, without prior notice, if we reasonably believe you have violated these Terms or if required by law.

Upon termination: (a) all licenses granted to you under these Terms will immediately end; (b) you must cease all use of the Platform; (c) any outstanding subscription fees remain payable; and (d) provisions that by their nature should survive termination will continue to apply.

17. General Provisions

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

These Terms, together with our Privacy & Trust policy, constitute the entire agreement between you and mortly regarding your use of the Platform.

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
